Merchase is a connection platform that helps clients book appointment-, stay-, and rental-based small businesses. Merchase is not a party to any booking and never holds or processes your money — payments are made directly between you and the business. These Terms govern your use of Merchase.
By creating an account or using Merchase, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the app.
Merchase is a CONNECTION PLATFORM that helps clients discover and book appointment-, stay-, and rental-based small businesses. Merchase is NOT a party to any booking or transaction between a client and a business.
Merchase does NOT hold, process, escrow, or transfer money. All payments (including downpayments) are made directly between the client and the business. Merchase is not a payment processor, remittance service, or e-money issuer.
You must provide accurate information and keep your login secure. You are responsible for all activity under your account. Business accounts represent a real business the account holder is authorized to manage.
Businesses are solely responsible for their services, pricing, availability, downpayment and refund policies, the fulfilment of bookings, resolving disputes with their clients, and complying with applicable laws and taxes. Merchase only displays the information businesses provide.
Bookings and any payments happen directly between client and business. Downpayment proofs and refunds are handled between the two parties according to the business's stated policy. Merchase surfaces this information but is NOT responsible for payments made, services delivered, no-shows, cancellations, or refunds owed.
Business plans (Free, Starter, Business, Enterprise) unlock additional capacity and features. Paid plans are billed through our website, not inside the app. Plan limits, prices, and features may change with notice. Fees for a billing period are generally non-refundable except where required by law.
You agree not to use Merchase for anything unlawful, fraudulent, abusive, or infringing; not to impersonate others; not to upload harmful or illegal content; and not to interfere with the platform's operation or security.
You are responsible for content you upload (photos, descriptions, documents). You grant Merchase a limited license to store and display that content as needed to run the service. We may remove content that violates these Terms.
A "verified" badge indicates a business submitted certain documents that we reviewed. It is a limited signal of trust, NOT a guarantee of a business's quality, legitimacy, or conduct. Always exercise your own judgment.
Merchase is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted or error-free operation, or the quality, safety, or legality of any business or service listed.
To the maximum extent permitted by law, GYRA Technologies OPC and Merchase are not liable for any indirect, incidental, or consequential damages, or for any loss arising from bookings, payments, refunds, or disputes between clients and businesses. Our total liability for any claim is limited to the amount you paid us (if any) in the 12 months before the claim.
You agree to indemnify and hold GYRA Technologies OPC harmless from claims arising out of your use of Merchase, your content, or your violation of these Terms or applicable law.
We may suspend or terminate accounts that violate these Terms or that create risk for other users or the platform. You may stop using Merchase and delete your account at any time.
We may update these Terms. Material changes take effect on an updated date, and continued use after that date means you accept the changes. We may ask you to re-accept when appropriate.
These Terms are governed by the laws of the Republic of the Philippines. Disputes are subject to the exclusive jurisdiction of the competent courts of the Philippines.
